2018 Filing Schedule of AFS and GIS

We may be overwhelmed by the current information on the TRAIN Law but we still must not forget the rapidly approaching annual deadlines, particularly the filing of Audited Financial Statements (AFS) and General Information Sheet (GIS).

To maintain an organized and orderly filing of these documents, the Securities and Exchange Commission (SEC) issued Memorandum Circular No. 3 last January 22, 2018 pertaining to the filing of both AFS and GIS.
 

In pursuant to the Commission’s authority under the Corporation Code and Securities Regulation Code, SEC adopts the following measures in relation to the filing of these integral annual reports:

Audited Financial Statements of Companies whose Fiscal Year ends on December 31, 2017

Every corporation - whether it is a branch office, a representative office, a regional headquarter, or regional operating headquarter of a foreign business - must file their AFS on schedules set by the Commission based on the last numerical digit of their SEC registration or license number.



The schedule of filing of AFS for these establishments is outlined below:

The same schedule applies to all Satellite and Extension Offices in Cebu, Iloilo and Davao. Noteworthy to mention that any corporations may, however, file on or before the respective filing dates set regardless of the last digit if their registration or license number.


Late filings, on the other hand, shall still be accepted starting May 21, 2018 with prescribed penalties. Also, please take note that the AFS to be filed shall indicate that it has already been through the BIR with the stamp “received by the Bureau of Internal Revenue (BIR) or its authorized banks.”

All corporations must file their GIS based on the following:

All corporations may directly file these annual reports (AFS and GIS) in SEC Head Office, PICC Office, all Satellite Offices and Extension Offices while observing the SEC issued number coding schedule.
